These official rules (hereinafter, "Official Rules") apply for this Contest promotion (hereinafter, "Contest") conducted by MSLO Productions, Inc., 226 West 26th Street, New York, NY 10001 (hereinafter, "Sponsor") and for which a prize is being supplied by Toyota Motor Sales U.S.A, Inc. (hereinafter, "Toyota"), 19001 South Western Avenue, Torrance, CA 90501 (hereinafter "Prize Vehicle Supplier") which will be promoted via the MARTHA STEWART SHOW, MARTHA STEWART LIVING MAGAZINE, EVERYDAY FOOD MAGAZINE, at www.marthastewart.com/blockparty and via MARTHA STEWART RADIO on SIRIUS 112. The Contest will start on August 29, 2007 and will end on October 19, 2007*. By entering this Contest, you agree to the Terms in these Official Rules.

1. CONTEST ENTRANTS (HEREINAFTER, "ENTRANTS") AND PRIZE RECIPIENT MUST BE UNITED STATES LEGAL RESIDENTS OF ONE OF THE FORTY-EIGHT (48) CONTIGUOUS STATES OR THE DISTRICT OF COLUMBIA, AGED 21 YEARS OR OLDER WHO ARE LICENSED DRIVERS POSSESSING A VALID DRIVER'S LICENSE AT THE TIME OF ENTRY TO BE ELIGIBLE. VOID IN ALASKA, HAWAII AND WHERE PROHIBITED BY LAW. CONTEST SUBJECT TO ALL APPLICABLE FEDERAL, STATE AND LOCAL LAWS AND REGULATIONS. Employees, Officers, Directors or Agents of Sponsor, Prize Vehicle Supplier, Centra Marketing & Communications, LLC (hereinafter, "Contest Administrator") Chelsea Television Studios, NBC Universal Domestic Television Distribution, and each of their respective parent companies, subsidiaries, affiliates, prize suppliers, distributors, and advertising/promotion agencies and/or judging agencies (such entities collectively the "Released Entities") and their immediate family members (mother, father, brothers, sisters, sons, daughters and spouse, regardless of where they reside) and/or those living in the same household of any such individual, whether or not related, are not eligible to enter or win.

2. HOW TO ENTER AN ELIGIBLE ENTRY: An "Eligible Entry" is defined as follows: a video, submitted by an eligible Entrant, of no more than three (3) minutes in length featuring footage of your neighborhood block on which you live and one or more of your family members and/or one or more of your neighbors and yourself describing your neighborhood community, and addressing the following question verbally and in the English language: "Why should your neighborhood block win the Ultimate Block Party?," and otherwise complying with these Official Rules. The video (hereinafter, "Video") must be: a) on either a 1/2 inch VHS-formatted video tape, DVD or mini-DVD; b) Queued to starting point of the video; and c) Neatly labeled in the English language with Entrant's complete name, address including zip code, daytime and evening telephone numbers including area code and birth date. On a 3" x 5" piece of paper, hand print your complete name, address including zip code, daytime and evening telephone numbers including area code and birth date and include the labeled Video, DVD or Mini-DVD and 3" x 5" piece of paper in a padded, hand-addressed, sealed envelope to: The Martha Stewart Show, Attn: Toyota Block Party", P.O. Box 1942, New York, NY 10116. All entries must be postmarked by October 19, 2007* and received by October 26, 2007*. In the event of non-compliance with any of the foregoing entry requirements, entry will be disqualified. Sponsor, Prize Vehicle Supplier, and all other Released Entities are not responsible for lost, incomplete, stolen, damaged, illegible, late, undelivered, postage due or misdirected entries or mail. Sponsor, Prize Vehicle Supplier, and all other Released Entities are not responsible for inaccurate entries or other Contest-related information; or technical or mechanical malfunctions caused by equipment, programming used in the Contest, or other malfunctions or errors, whether technical, mechanical, printing, typographical, human or otherwise, relating to or in connection with the Contest, including, without limitation, errors, or problems which may occur in connection with the administration of the Contest, the processing or judging of entries, the announcement of the prizes or in these Official Rules, the entry form or other Contest-related materials. Sponsor reserves the right in its sole discretion, to disqualify any entries of Entrants who Sponsor believes have attempted to tamper with or impair the administration, security, fairness or proper play of this Contest. Limit one (1) entry per household. Duplicate entries and entries that are deemed by the judges to be immoral, obscene, profane, lewd or not in keeping with Sponsor's image or in violation of these Official Rules will be disqualified. All entries, upon submission, become the property of the Sponsor and will not be acknowledged or returned and Sponsor has the right to dispose of the entries at Sponsor's discretion. By entering the Contest, Entrants agree that the Sponsor, Prize Vehicle Supplier and all other Released Entities shall have the right to edit, modify, publish, use, reuse, not use, or otherwise exploit the entry, and any materials based thereon or derived therefrom, in any manner, for any lawful purposes whatsoever, including, without limitation, for advertising and promotional purposes in any medium (whether now or hereafter known) throughout the world in perpetuity without further permission, consideration, or payment to the Entrant, except where prohibited by law. By submitting your entry, you warrant and represent that your entry is 100% original and was created solely by you, that the entry does not incorporate any material owned by any third party, and that use of the entry as described herein will not violate any law or infringe upon the rights of any third party. By submitting your entry, you warrant and represent that you have the permission from any and all individuals other than yourself who are shown in the Video. If, in the opinion of the judges, Sponsor, Prize Vehicle Supplier and/or all other Released Entities, the entry violates any law or infringes upon the rights of any third party, is inaccurate, illegible, incomplete or irregular in any way, or otherwise does not comply with the Official Rules, the Sponsor may disqualify the entry. Entrants warrant and represent that they are a legal owner or lessee of the home or apartment that is located in the neighborhood block featured in the video and if his/her entry is the Winner, agrees to provide legal releases proving Entrant is the homeowner or lessee of the home or apartment that is located in the neighborhood block featured in the video. By submitting an Eligible Entry, Entrants agree that they may not make any claims against the Sponsor, Vehicle Prize Supplier, or all other Released Entities should Sponsor at any time use or exploit the Eligible Entry or any portion thereof, or anything based thereon or derived therefrom, in any manner. Your entry constitutes your consent to participate in this Contest and your consent for Sponsor to obtain and deliver your name, address and other information to Contest Administrator for the purpose of administering this Contest and for other uses by Sponsor as permitted by applicable law. Sponsor and all other Released Entities are not responsible for any printing or typographical errors appearing within these Official Rules or in any Contest -related advertisements or other materials.

3. JUDGING CRITERIA: One (1) Grand Prize Winner will be selected from among all Eligible Entries received. The one (1) Grand Prize Winner will be selected based on the following criteria: Community Spirit (0-50 points); Originality/Creativity (0-25 points) and Fun (0-25 points). The Eligible Entry that receives the highest number of points will be deemed the Grand Prize Winner. The judging of the Eligible Entries will be conducted under the supervision of Sponsor and Contest Administrator whose decisions are final and binding in all respects relating to the selection of the Grand Prize Winner. In the event of a tie, the tied Eligible Entrants will be re-judged by an additional judge who will serve as a tie-breaker using the same criteria as outlined herein. This Contest may be cancelled in the event an insufficient number of qualified Eligible Entries are received that do not meet the minimum standards established by the judges. Potential Grand Prize Winner will be notified by telephone, mail or in person on or about November 15, 2007. The potential Grand Prize Winner will be required to execute an affidavit of eligibility/release of liability/prize acceptance (the "Prize Acceptance Document") and return the Prize Acceptance Document before he or she is eligible to receive his or her prize. If a prospective winner fails or refuses to sign a Prize Acceptance Document within seven (7) days after the first notification attempt or if a prize is returned as unclaimed or undeliverable to such prospective winner, such prospective winner may, in Sponsor's sole discretion, be disqualified and an alternate winner from the next highest scoring Eligible Entry will be awarded the Grand Prize. If selected potential Grand Prize Winner fails to comply with the Official Rules, the potential Grand Prize Winner will be disqualified and the Grand Prize will be awarded to the next highest scoring Eligible Entry. If potential Grand Prize is ineligible or potential Grand Prize Winner declines prize, the Grand Prize will be awarded to the next highest scoring entrant. Sponsor is not responsible for fraudulent calls or e-mails made to entrants not by the Sponsor. Grand Prize Winner may be required to be available for an on-air telephone call or an in-person appearance on MARTHA on a designated date by Sponsor.

4. ONE (1) GRAND PRIZE: Grand Prize consists of one (1) model year 2008 Toyota Highlander Sport with automatic transmission (hereinafter "Prize Vehicle") and one (1) Block Party for Grand Prize Winner and up to one hundred (100) guests coordinated and catered by Sponsor (hereinafter, "Party Prize"). The Manufacturer's Suggested Retail Price ("MSRP") of the 2008 Toyota Highlander Sport is $35,000. The actual Prize Vehicle may not match the vehicle depictions in promotional materials for the Contest. The Party Prize consists of the following: party and event consultants provided by Sponsor, catering food and beverages for up to one hundred and one (101) individuals, use of rental tables, chairs, linens, tableware, glassware and utensils during the party, event decorations, entertaining activities for children and adults, and entertainment supplies as designated by Sponsor, on-site activity staff designated by Sponsor, one (1) photographer, party invitations and up to one hundred and one (101) gift bags containing items designated by Sponsor. The approximate retail value of Party Prize: up to $75,000. Total Approximate Retail Value of the Prize Vehicle and Party Prize: $110,000, In the event the Party Prize costs less than $75,000, Grand Prize Winner will not be provided with the dollar value difference between the actual cost of the Party Prize and the approximate retail value of the Party Prize stated herein. The Party Prize must take place on date designated by Sponsor and Sponsor reserves the right at its sole discretion to change or select the location or venue for the Party Prize. Sponsor reserves the right to approve the Grand Prize Winner's Guest List and eliminate any guest from the Guest List at its sole discretion. In the event the Grand Prize Winner cannot accept the Party Prize on the date designated by Sponsor, Grand Prize Winner may be disqualified and the Grand Prize awarded to the next highest scoring Eligible Entry. Grand Prize Winner will be solely responsible for all car title, license and registration fees, freight, delivery, dealer prep, emissions inspection, additional equipment, all federal, state and local taxes, (including without limitation incremental income taxes) insurance, gasoline, vehicle maintenance and all other fees and expenses associated with the receipt and use of the Prize Vehicle. The interior and exterior features of the Prize Vehicle will be designated by Prize Vehicle Supplier. Additional costs associated with all additional car options, if available, will be the responsibility of the Grand Prize Winner. Grand Prize Winner must provide proof of valid insurance and a valid United States driver's license at time of delivery and must take delivery at a dealership designated by Sponsor within one hundred and eighty (180) days after selection of the Grand Prize Winner and receipt of all required materials and information from the Grand Prize Winner. The Grand Prize Winner shall be solely responsible for all travel and transportation costs, associated with transferring and/or winning of the Prize Vehicle (provided, however, the Prize Vehicle shall be delivered at no cost to the Grand Prize Winner at an authorized Toyota/Lexus/Scion dealer or distributor in the contiguous lower 48 states of the United States (or the District of Columbia) reasonably close in proximity to the Grand Prize Winner's residence.). Neither, Sponsor, Prize Vehicle Supplier, nor any other Released Parties shall not be responsible for delays in delivery of the Prize Vehicle and delivery is subject to availability. The Prize Vehicle Supplier, however, shall use all reasonable efforts, subject to availability, to deliver the Prize Vehicle within one hundred and eighty (180) days after receipt of the aforementioned items/information. The Grand Prize Winner shall bear all risk of loss or damage to the Prize Vehicle after it has been delivered to the specified delivery site. The Grand Prize Winner must personally retrieve the Prize Vehicle within thirty (30) days of written notification of delivery and must present adequate personal identification at time of delivery. The Prize Vehicle will be delivered solely with the express written limited warranties set forth in the Prize Vehicle's applicable Owner's Guide, which warranties shall run for the term set forth in said Guide. Grand Prize Winner is solely responsible for any and all costs not stated herein. The Grand Prize Winner will be able to choose to receive, in lieu of the Prize Vehicle, a money prize (hereinafter, "Money Prize") consisting of twenty-five thousand dollars ($25,000), payable by Prize Vehicle Supplier (by check or wire transfer, at the option of Prize Vehicle Supplier) within thirty (30) days after Sponsor and Prize Vehicle Supplier receive written notice of winner's decision to take the Money Prize instead of the Prize Vehicle (provided all other conditions to the award and delivery of the prize have also been met). The Grand Prize Winner must specify his or her choice in a written notice to Sponsor within seven (7) days of winner notification and Sponsor will convey the specification of that choice to Prize Vehicle Supplier. The choice to accept the Money Prize or the Prize Vehicle shall be the Grand Prize Winner's responsibility alone, and Prize Vehicle Supplier, Sponsor and all other Released Entities make no representation or warranty as to the relative value to the winner of the Money Prize in comparison to the Prize Vehicle. Prize Vehicle Supplier, Sponsor and all other Released Entities assume no responsibility for, and shall incur no liability as a result of, Grand Prize Winner's choice. The amount set forth herein for the Money Prize does not necessarily signify that the value of the Prize Vehicle, through resale or otherwise, is an equivalent, higher or lower amount. Winner's acceptance of the Money Prize instead of the Prize Vehicle does not otherwise change the terms of the Contest Official Rules. Prize is non-transferable. No substitution, cash redemption (except as stated herein), assignment, or transfer of prize permitted, but Sponsor reserves the right to substitute the prize of equal or greater value in the event that the offered prize is unavailable for any reason. Grand Prize Winner must supply Sponsor with his/her social security number for tax purposes. Grand Prize will be awarded provided it is properly claimed.

6. PARTY PRIZE CONDUCT: The Party Prize will be conducted under the supervision of Sponsor whose decisions are final and binding in all aspects relating to the Party Prize. Grand Prize Winner and Guests may not drink any alcoholic beverages or use any tobacco or cigar products during the block party. Grand Prize Winner and Guests will not be allowed to bring or ride bicycles, skateboards, roller-boards, in-line skates, mopeds, or scooters to/during the Party Prize. The Grand Prize Winner and/or any Guest may be removed from the Party Prize venue premises at the sole discretion of the Sponsor for any reason at any time, including but not limited to the advice of the Party Prize staff, creating an unauthorized disturbance, interruption or unnecessarily rough physical contact, or for any unhealthy, unsafe, or inappropriate act. If the Grand Prize Winner or any Guest who in the opinion of the Sponsor is considered a physical or mental threat to the well-being of the Grand Prize Winner or other Guests, may be removed from the Party Prize venue premises. A web or video camera and/or microphone may monitor activities of the Party Prize. Grand Prize Winner and Guests may be monitored by video and audio during Party Prize. Grand Prize Winner and Guests are not allowed to tamper with any monitoring equipment including, but not limited to: computer equipment, microphones, cables, and video equipment. Grand Prize Winner and Guests are not permitted to engage in any overt sexual activities or have any overt sexual contact with another person during Party Prize. Any act performed by a Grand Prize Winner or Guest defined by Federal, State or Local statute or ordinance as constituting a criminal act may result in removal from the Party Prize venue premises. At the sole discretion of the Sponsor, if the Grand Prize Winner or any Guest uses profanity, or demonstrates any lewd or sexually suggestive gestures or full or partial nudity, the Sponsor shall have the right to remove that individual from the Party Prize venue premises. At the sole discretion of the Sponsor, if the Grand Prize Winner or any Guest creates the potential for death, disability, injury and/or property damage during the Party Prize, the Sponsor, shall have the right to remove that individual from the Party Prize venue premises.

7. GENERAL: By entering this Contest, entrants and Prize Winner: (1) agree to be bound by these Official Rules; (2) agree to release Sponsor, Prize Vehicle Supplier and all other Released Entities from any and all liability for any loss, harm, damages, costs or expenses, including without limitation property damages, personal injury and/or death arising out of participating in this Contest, or the acceptance, possession, use or misuse of a prize and claims based on publicity rights, defamation or invasion of privacy and merchandise delivery; and, (3) agree that Sponsor, Prize Vehicle Supplier and all other Released Entities may use (unless prohibited by law) their name, voice, city/state of residence, photograph and/or likeness for advertising and/or trade and/or for any other purpose in any media or format now or hereafter known without further compensation, permission or notification. Sponsor may discontinue this Contest at any time. Sponsor may terminate this Contest or decide to modify it in any manner that it deems fair and equitable to participants if it becomes aware of any occurrence that would materially affect the Contest's security and fairness. Sponsor may prohibit individuals from participating in the Contest and disqualify entries if they: (1) attempt to enter the Contest through any means other than as described in these Official Rules; (2) attempt to disrupt the Contest or circumvent the terms and conditions of these Official Rules in any way; or (3) repeatedly show a disregard for these Official Rules or act (a) in an unsportsmanlike manner, or (b) with an intent to annoy, abuse, threaten or harass any other entrant or Sponsor. Sponsor's decisions with respect to the Contest are final. Prize Vehicle Supplier maintains no control over the personnel, equipment, or operation of any transportation company, restaurant, or other person or entity furnishing service, products, or accommodations as a part of the Party Prize provided under this Contest, since Prize Vehicle Supplier is merely an independent supplier of the Prize Vehicle and is not in any way related to the other suppliers. The Sponsor, Prize Vehicle Supplier and all other Released Entities shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience, or other irregularity that may be caused or contributed to (a) by wrongful, negligent, or unauthorized act or omission on the part of any of those suppliers or any of their agents, servants, employees, or independent contractors, (b) by any defect in or failure of any vehicle, equipment, instrumentality, service, product, or accommodation that is owned, operated, furnished, or otherwise used by any of those suppliers, (c) by the wrongful, negligent, or unauthorized act or omission on the part of any other person or entity not an employee of the Sponsor, Prize Vehicle Supplier or all other Released Entities, or (d) by any cause, condition, or event whatsoever beyond the control of the Sponsor, Prize Vehicle Supplier, and all other Released Entities. Sponsor reserves the right (but is not obligated) to disqualify any individual who has been charged or convicted of a crime, or, in the sole and absolute discretion of the Sponsor, has engaged in the past conduct that may reflect unfavorably on the Contest, the Sponsor or the Prize Vehicle Supplier, including, without limitation, a poor driving record. All Entrants authorize Sponsor or its designee to conduct a background check of such Entrant so as to allow the Sponsor to evaluate the foregoing factors, provided that no Entrant may challenge another Entrant's eligibility based on such factors. To the extent Sponsor determines that it requires a signed authorization from the Entrant to allow such background check, Entrant shall provide such a signed authorization as a condition to his or her continued eligibility to participate in the Contest.

8. USE OF INFORMATION: The information that Entrants provide in connection with the Contest may be used for Sponsor's and Prize Vehicle Supplier's internal purposes and to send Entrants information about Sponsor's and/or Prize Vehicle Supplier's products and special promotions but will not be provided to third parties, except as necessary for the administration of the Contest as required by law or legal process or as contemplated by the Prize Acceptance Document.

9. NAME OF WINNER: To obtain the name of the Grand Prize Winner (available after November 30, 2007), or a copy of the Official Rules, send a self-addressed, stamped #10 envelope to be received by December 28, 2007 to: Toyota's Block Party Contest Winner, c/o Centra Marketing & Communications, LLC, 1400 Old Country Road, Suite #420, Westbury, NY 11590.
